{"id":2614,"date":"2026-09-11T13:35:14","date_gmt":"2026-09-11T13:35:14","guid":{"rendered":"https:\/\/www.techsparx.co.uk\/south\/?p=2614"},"modified":"2026-09-21T13:44:57","modified_gmt":"2026-09-21T13:44:57","slug":"tribal-group-shares-soar-after-board-accepts-189-3m-private-equity-takeover-offer","status":"publish","type":"post","link":"https:\/\/www.techsparx.co.uk\/south\/software\/tribal-group-shares-soar-after-board-accepts-189-3m-private-equity-takeover-offer\/","title":{"rendered":"Tribal Group shares soar after board accepts \u00a3189.3m private equity takeover offer"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">Shares in Bristol-headquartered education software company Tribal Group jumped by more than 21 per cent following the board\u2019s acceptance of an \u00a3189.3m private equity takeover offer.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The all-cash offer comes from a newly formed entity controlled by funds managed or advised by Main Capital, a Dutch private equity firm focused on software investments with approximately \u00a310 billion in assets under management.<sup><\/sup><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Main made its approach two weeks after Tribal received a highly conditional, non-binding proposal from London-headquartered SilverTree Equity Partners at 95p per share in cash. The board of Tribal, led by chief executive Mark Pickett, rejected SilverTree\u2019s approach due to concerns over funding and regulatory delays.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The transaction constitutes a fundamental change of business and requires shareholder approval at a general meeting scheduled for 2 October.<sup><\/sup> Shareholders representing more than 44 per cent of Tribal\u2019s stock have already pledged support for the deal.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The takeover builds on recent structural shifts across the education management software market. Technology sector reports indicate that European enterprise software providers face rising demand from higher education institutions looking to transition legacy administrative systems to cloud-hosted platforms.<sup><\/sup> Main Capital\u2019s acquisition gives Tribal direct access to capital backing and software portfolio resources to support that transition across international markets.<sup><\/sup><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mark Pickett, chief executive of Main Capital, said its<em> \u201cdeep software expertise, international network and experience supporting ambitious growth strategies\u201d <\/em>made it a strong partner for Tribal. He added that under its ownership, Tribal could look forward to<em> \u201caccelerating product innovation, cloud adoption and international growth\u201d.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Founded in 1999, Tribal develops student information systems and education management software.<sup><\/sup> It employs around 915 staff and serves more than 660 institutions worldwide, including over 200 universities across the UK, Australia, New Zealand, Canada and Asia-Pacific.<sup><\/sup><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The <a href=\"https:\/\/www.londonstockexchange.com\/news-article\/TRB\/proposed-acquisition-by-main-capital-partners\/17784011\">transaction covers Tribal\u2019s Student Information Solutions division and its Etio business<\/a>, encompassing six subsidiaries.
